Terms of Use

These Terms of Use ("Terms") govern your use of the Rezona mobile application ("Rezona" or "the App"), operated by Ascent Labs ("we," "us," or "our"). By downloading or using Rezona, you agree to these Terms. If you do not agree, do not use the App.

1. Eligibility

Rezona is intended only for adults aged 18 and over. By using the App, you represent that you are at least 18 years old. The App is not directed to and may not be used by anyone under 18.

2. What Rezona is

Rezona lets you have spoken conversations with AI-driven characters ("personas"). Replies are generated by artificial intelligence. Rezona is provided for personal companionship and entertainment.

3. AI-generated content — important disclaimer

The personas and their responses are generated by AI and are fictional. You acknowledge that:

  • AI responses may be inaccurate, incomplete, outdated, or inappropriate, and should not be relied upon as fact.
  • Personas are not real people and have no real feelings, memory beyond your on-device conversation, or independent existence.
  • Rezona does not provide professional advice of any kind. Its output is not medical, mental-health, legal, financial, or other professional advice, and must not be treated as a substitute for a qualified professional.

You are responsible for how you use and act upon anything generated by the App.

4. Not a crisis or mental-health service

Rezona is not a counseling, therapy, crisis, or emergency service, and is not a substitute for professional mental-health care. If you are in distress or experiencing a mental-health crisis, or if you or someone else may be in danger, contact your local emergency services or a qualified professional or helpline immediately. Do not rely on Rezona for help in an emergency.

5. Acceptable use

You agree not to use Rezona to:

  • break any law or encourage others to;
  • attempt to generate content that is illegal, that sexualizes minors, or that facilitates serious harm to people;
  • harass, abuse, or harm others, or attempt to use the App to do so;
  • circumvent, disable, or interfere with the App's safety features or content filtering;
  • reverse-engineer, decompile, scrape, or attempt to extract the App's source code, prompts, or models, except where such restriction is prohibited by law;
  • resell, sublicense, or commercially exploit the App without our permission;
  • infringe anyone's intellectual property, privacy, or other rights.

We may suspend or terminate your access if you violate these Terms.

6. Your inputs

You are responsible for what you say to the App. To provide the service, your voice input and its transcript are processed by us and our third-party AI providers as described in our Privacy Policy. You retain any rights you have in your own inputs; you grant us a limited license to process them solely to operate and improve the App's functioning for you, consistent with the Privacy Policy. We do not use your inputs to train AI models.

7. Intellectual property

The App, its name, branding, personas, design, and software are owned by Ascent Labs or its licensors and are protected by applicable laws. We grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the App on devices you own or control, for personal, non-commercial purposes, subject to these Terms.

8. Third-party services

Rezona relies on third-party AI providers (for speech-to-text, language generation, and text-to-speech). Their services are governed by their own terms and privacy policies. We are not responsible for third-party services beyond our reasonable control.

9. Privacy

Your use of Rezona is also governed by our Privacy Policy, which explains how we handle your information.

10. Disclaimers; no warranty

The App is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted or error-free operation. We do not warrant that the App or its AI output will meet your expectations or be reliable.

11. Limitation of liability

To the maximum extent permitted by law, Ascent Labs and its officers, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising from your use of or inability to use the App or reliance on its content. To the maximum extent permitted by law, our total liability for any claim relating to the App will not exceed the amount you paid us (if any) for the App in the 12 months before the claim.

12. Indemnification

You agree to indemnify and hold harmless Ascent Labs from claims, damages, and expenses (including reasonable legal fees) arising from your misuse of the App or violation of these Terms or applicable law.

13. Termination

We may suspend or terminate your access to the App at any time, with or without notice, for any reason, including violation of these Terms. You may stop using the App at any time by uninstalling it.

14. Changes

We may modify the App or these Terms. When we make material changes to the Terms, we will update the "Last updated" date and, where appropriate, notify you in the App. Continued use after changes means you accept the revised Terms.

15. Governing law

These Terms are governed by the laws of India, without regard to conflict-of-laws principles. Subject to applicable law, the courts located in [Mumbai, India] will have jurisdiction over any disputes, unless mandatory local law provides otherwise.

16. Apple App Store — additional terms

These additional terms apply if you download Rezona from the Apple App Store:

  • These Terms are between you and Ascent Labs only, not with Apple. Apple is not responsible for the App or its content.
  • Your license to use the App is limited to a non-transferable license to use it on any Apple-branded device that you own or control, as permitted by the App Store Terms of Service.
  • Apple has no obligation to provide maintenance or support for the App.
  • To the maximum extent permitted by law, Apple has no warranty obligation with respect to the App; any warranty claims will be our responsibility.
  • Apple is not responsible for addressing any claims relating to the App, including product-liability, regulatory, or consumer-protection claims, or third-party claims that the App infringes intellectual-property rights — these are our responsibility under these Terms.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
  • You represent that you are not located in a country subject to a U.S. Government embargo or designated a "terrorist supporting" country, and you are not on any U.S. Government list of prohibited or restricted parties.
